PREAMBLE
The transactional website www.hapi-auto.ca (the “Site”) is operated by HAPI AUTO AXION INC. (hereinafter “HAPI AUTO”, “we”, “our”, or “us”), a company incorporated in Canada and registered in Quebec.
These General Terms and Conditions of Sale and Use (the “Terms”) govern access to the Site, its use, and purchases of products made from HAPI AUTO. They apply together with the information displayed on the product page, the order summary, the order confirmation, as well as the delivery, return, refund, and privacy policies available on the Site.
In the event of any contradiction, the specific information expressly presented to the customer before the conclusion of an order shall prevail for that order, subject to the applicable public-order laws.
ESSENTIAL RULE AT THE TIME OF PAYMENT Before confirming an order, the customer must be able to verify the products, the quantities, the indicated compatibility, the delivery address, the prices, the taxes, the delivery charges, the estimated timeframe, and the applicable return policy, and then correct any error. |

ARTICLE 1 – IDENTITY OF THE MERCHANT AND CONTACT INFORMATION
The seller is HAPI AUTO AXION INC., whose head office is located at 302-3126, boulevard Neilson, Québec (Québec) G1W 2V4, Canada. Quebec Enterprise Number (NEQ): 1182119249.
Customer service can be reached at contact@hapi-auto.ca or at +1 418 559-6860. Any request relating to an order should ideally include the order number, the customer’s name, and a clear description of the request.
ARTICLE 2 – CUSTOMERS CONCERNED AND DEFINITIONS
The Terms apply to natural persons who purchase primarily for personal, family, or household purposes, as well as to businesses that purchase for commercial purposes. The mandatory protections granted to consumers cannot be set aside by these Terms.
“Customer”: any person who browses the Site, creates an account, or places an order.
“Local product”: a product identified on its product page as being stocked or shipped locally by HAPI AUTO.
“Partner-shipped product”: a product identified on its product page as being prepared and shipped from a partner distribution centre.
“Order”: a purchase contract formed in accordance with these Terms and the information confirmed at the time of payment.
“Business day”: a day other than a Saturday, a Sunday, or a statutory holiday applicable at the place of performance.
ARTICLE 3 – ACCEPTANCE OF THE TERMS AND FORMATION OF THE CONTRACT
The customer must review the French version of the Terms before placing an order. Checking the acceptance box and confirming payment express acceptance of the Terms applicable to the order.
Before the conclusion of the contract, HAPI AUTO presents, in a clear and understandable manner, the essential information, including the description of the product, its price, the applicable charges, the taxes, the payment terms, the delivery timeframe and method, as well as the cancellation, return, exchange, and refund conditions.
Before payment, the customer has access to a summary page allowing them to accept, decline, or correct the order. A written confirmation is then sent by email in a form that can be retained and printed. This confirmation is sent without delay and, in any event, within the timeframe provided by law.
The version of the Terms in effect at the time of the order remains applicable to that order. A subsequent modification of the Site or of the Terms does not retroactively alter a contract already concluded.
ARTICLE 4 – PRODUCTS, DESCRIPTIONS, AND AVAILABILITY
HAPI AUTO sells primarily automotive accessories. The characteristics, dimensions, materials, colours, functions, package contents, and other specifications are described on each product page. The photographs and illustrations are presented with the greatest care, but slight variations in colour or finish may result from the screen, the manufacturing, or a product update, without altering its essential function.
The displayed availability is updated as accurately as possible. An order may, exceptionally, become impossible to fulfill owing in particular to a safety recall, a legal prohibition, fraud, a refusal of payment authorization, or a genuine inability to obtain supply. HAPI AUTO will then inform the customer promptly and will refund any amount collected for the undelivered product. HAPI AUTO will never charge a price higher than the accepted price without the customer’s express consent.
Quantities may be reasonably limited in order to prevent fraud, automated purchasing, or unauthorized resale, subject to consumer rights and the obligations applicable to the merchant.
ARTICLE 5 – VEHICLE COMPATIBILITY
Certain products are designed for specific vehicles. The customer must verify the year, make, model, trim, body type, engine, and any other relevant characteristic before ordering.
The vehicle selector and the compatibility indications are decision-support tools. They must be read together with the product page, the dimensions, the photos, the installation notes, and, where applicable, the manufacturer’s reference number. Where HAPI AUTO expressly confirms in writing the compatibility of a product with the accurate information provided by the customer, this confirmation forms part of the representations on which the customer may rely.
An error or omission in the information provided by the customer may make the product unsuitable. Returns due to a selection error remain subject to the return policy applicable to the product category, without limiting the rights relating to a misdescribed, defective, or non-conforming product.
ARTICLE 6 – PRICES, CURRENCY, TAXES, AND PROMOTIONS
All prices are displayed in Canadian dollars, unless otherwise indicated. The advertised price includes the mandatory charges imposed by HAPI AUTO that must be included in the price, while the GST, the QST, or the other taxes required by law may be added at the time of payment. The delivery charges and any other applicable amount are presented before the confirmation of the order.
The customer shall not have to pay any customs duties, brokerage fees, or other third-party charges that were not disclosed before the conclusion of the order. Where such charges may reasonably apply, their nature is indicated before payment in accordance with the law.
Promotional codes, discounts, and offers are subject to the conditions displayed, including their duration, the eligible products, the number of uses, and the exclusions. Unless otherwise indicated, they are not exchangeable for cash and cannot be combined.
ARTICLE 7 – PAYMENT AND SECURITY CHECKS
The accepted payment methods are indicated at the time of payment. Payments may be processed by Stripe or by another secure payment service provider. HAPI AUTO does not directly retain the full payment-card number when it is processed by the service provider.
The customer warrants that they are authorized to use the payment method provided. HAPI AUTO may request a reasonable verification in order to prevent fraud or unauthorized use. An order may be suspended or declined where the payment is not authorized, where the information is manifestly inconsistent, or where a serious risk of fraud is detected.
The charge is made in accordance with the terms indicated at payment. Where an advance payment is collected, it must be made by means of an instrument that allows the remedies provided by law, in particular a chargeback where applicable.
ARTICLE 8 – PROCESSING, DELIVERY, AND MULTIPLE SHIPMENTS
HAPI AUTO delivers within Canada, subject to the serviced areas indicated at the time of the order. The estimated timeframe, the delivery method, and the applicable charges are displayed before payment and reproduced in the order confirmation.
For partner-shipped products, the usual timeframe may vary approximately from 7 to 20 business days depending on the product, the address, the processing, the availability, and the carrier. This is an estimate; the applicable contractual timeframe remains the one displayed and accepted for the order.
A single order may be delivered in several parcels originating from different distribution centres. The customer will not pay any additional delivery charges that were not disclosed before the order.
The customer must provide a complete and accurate address. If a parcel is returned because of an incorrect, incomplete, or unclaimed address, HAPI AUTO will contact the customer before any reshipment and will inform them of any reasonable charges that may apply. No additional charge will be collected without consent where the law requires it.
ARTICLE 9 – DELAY, LOST PARCEL, OR UNDELIVERED SHIPMENT
The customer must promptly report any abnormal delay, lost parcel, or delivery marked as completed but not received. HAPI AUTO will open an investigation with the carrier and will ask the customer to provide the necessary information.
Where a product is not delivered within 30 days following the date or timeframe indicated in the contract, or within 30 days following the order if no timeframe was indicated, the consumer may exercise the cancellation rights provided by law as long as the main obligation has not been performed. The other rights provided by the applicable legislation remain intact.
The risk of loss is transferred in accordance with the applicable mandatory rules. A carrier’s proof of delivery does not automatically deprive the customer of their right to report a delivery error or a suspected theft and to obtain a reasonable review of the file.
ARTICLE 10 – MODIFICATION OR CANCELLATION BY THE CUSTOMER
The customer may request the modification or cancellation of an order by contacting HAPI AUTO immediately. The request will be accepted where processing and shipping have not yet made the modification impossible.
For a partner-shipped product, cancellation for a change of mind is possible before the start of processing or shipping. Once the product has been processed or shipped, it is not eligible for a return for a mere change of mind, subject to legal rights and the provisions relating to defective, damaged, incorrect, or non-conforming products.
A cancellation based on a right provided by law remains possible even if the ordinary commercial policy does not provide for cancellation. The customer may send their notice by email, telephone, or any other permitted means.
ARTICLE 11 – COMMERCIAL RETURN POLICY
The applicable return category is indicated on the product page before the order.
11.1 Local products
Timeframe: a return request within 14 days following receipt.
Condition: a new, unused, uninstalled, complete product in its original packaging, with accessories, instructions, and proof of purchase.
Charges: the return charges for a change of mind are borne by the customer, unless otherwise indicated or in the event of an error by HAPI AUTO.
Refund: after receipt and verification, in accordance with Article 13.
11.2 Partner-shipped products
After the start of processing or shipping, these products cannot be returned for a mere change of mind. This restriction must be clearly displayed on the product page and in the order summary. It does not apply to a defective, damaged, incorrect, or non-conforming product, nor to the cancellation or warranty rights provided by law.
11.3 Products not eligible for return for a change of mind
used, installed, washed, modified, damaged, or incomplete products;
customized products or products made to the customer’s specifications;
products identified as “final sale” before purchase, subject to the legal warranties;
gift cards or digital products, where offered, to the extent permitted by law.
No return should be shipped before obtaining instructions from HAPI AUTO. Refusing a parcel without authorization may delay the processing of the file.
ARTICLE 12 – DEFECTIVE, DAMAGED, INCORRECT, OR NON-CONFORMING PRODUCT
The customer is invited to inspect the parcel upon receipt. To speed up the handling of a defective, damaged, incorrect, or non-conforming product, they must contact HAPI AUTO within 7 days following receipt and attach, where possible, photos or a short video of the product, the packaging, the shipping label, and the observed problem.
IMPORTANT – LEGAL WARRANTIES The 7-day reporting period facilitates logistical handling, but it does not have the effect of reducing, excluding, or extinguishing the legal warranties or any other mandatory consumer right. |

After verification, HAPI AUTO may offer, depending on the case and the applicable law, a repair, a replacement, the shipment of the correct part, a price reduction, or a refund. HAPI AUTO will bear the reasonable return charges where it concerns an error by HAPI AUTO or a product that is defective, damaged on delivery, or non-conforming.
The customer must keep the packaging and the product until the end of the review, unless otherwise instructed. HAPI AUTO may request reasonable information to identify the defect, without imposing an abusive process or requiring the consumer to waive their remedies.
ARTICLE 13 – REFUNDS
Refunds are made to the original payment method, unless otherwise agreed or technically impossible. Once the refund has been authorized by HAPI AUTO, the time for it to appear in the account depends on the financial institution or the payment service provider.
For an accepted commercial return, HAPI AUTO normally processes the refund within 10 business days following the receipt and verification of the product. The initial delivery charges are not refundable in the event of a change of mind, unless otherwise indicated. They are refunded where an error by HAPI AUTO, a non-conformity, or the law requires it.
Where a distance contract is validly cancelled under the law, HAPI AUTO refunds all the amounts concerned within the applicable legal timeframe, in particular within 15 days following the cancellation where Quebec’s Consumer Protection Act (Loi sur la protection du consommateur) applies. The reasonable costs of restitution are then borne in accordance with the law.
ARTICLE 14 – LEGAL WARRANTIES AND MANUFACTURER’S WARRANTY
Products sold to consumers automatically benefit, at no charge, from the warranties provided by law, in particular the warranty of fitness for use, the warranty of reasonable durability, the warranty against latent defects, and the warranty of conformity with the descriptions, advertisements, and representations made to the customer.
A warranty offered by a manufacturer is in addition to the legal warranties and does not replace them. HAPI AUTO may assist the customer in submitting a claim to the manufacturer, but the customer retains the right to turn to HAPI AUTO where the law permits.
Damage resulting from misuse, an accident, an unauthorized modification, an installation contrary to the instructions, or manifestly inadequate maintenance may not be covered by a commercial warranty, without this setting aside the rights that the law nonetheless grants to the customer.
ARTICLE 15 – INSTALLATION, USE, AND SAFETY
The customer must follow the manufacturer’s instructions, observe the warnings, and verify that the installation does not impair a safety, restraint, braking, visibility, lighting, or control system of the vehicle.
Where the installation requires technical knowledge, specialized tools, an electrical connection, the removal of a safety component, or a modification of the vehicle, HAPI AUTO recommends calling upon a qualified professional.
The customer must stop using a product that presents a danger, overheating, an abnormal odour, a short circuit, an unstable attachment, or any other anomaly, and must contact HAPI AUTO. In the event of a recall or a safety notice, HAPI AUTO may contact the customers concerned and suspend the sale of the product.
ARTICLE 16 – CUSTOMER ACCOUNTS AND ACCURACY OF INFORMATION
The customer is responsible for the accuracy of the information provided and for the confidentiality of their credentials. They must promptly notify HAPI AUTO of any unauthorized use of their account.
HAPI AUTO may suspend an account where there are serious grounds to believe there is fraud, a security breach, an abuse of promotions, or a violation of these Terms. This measure must be proportionate and does not deprive the customer of their rights relating to orders already concluded.
ARTICLE 17 – INTELLECTUAL PROPERTY
The Site, its structure, its texts, its selection of content, its graphic elements, its logos, its original photographs, its databases, and its software are protected by the applicable laws. Except with written authorization, they may not be reproduced, distributed, sold, exploited, or used for commercial purposes.
The trademarks, logos, photographs, and descriptions belonging to manufacturers or partners remain the property of their respective owners and are used to the extent authorized.
ARTICLE 18 – REVIEWS, COMMENTS, AND CUSTOMER CONTENT
A customer who posts a review, a photo, or a comment confirms that they are authorized to do so and that their content is accurate, relevant, lawful, and respectful of the rights of others. They grant HAPI AUTO a non-exclusive, royalty-free, worldwide licence to display, reproduce, and adapt this content for the purposes of operating and promoting the Site, subject to the laws relating to personal information and the right to withdraw consent where it applies.
HAPI AUTO may moderate or remove content that is fraudulent, illegal, hateful, defamatory, obscene, irrelevant, promotional, or infringing on rights, without artificially manipulating the general opinion of customers or removing a review solely because it is negative.
ARTICLE 19 – PROHIBITED USES AND SITE SECURITY
using the Site for illegal, fraudulent, or deceptive purposes;
introducing a virus or malicious code, attempting to circumvent a security measure, or disrupting the operation of the Site;
mass-scraping data, automating purchases, or reproducing the catalogue for commercial purposes without authorization;
impersonating a person, using an unauthorized payment method, or submitting false information;
infringing on the intellectual property rights, the privacy, or the reputation of others.
HAPI AUTO may take reasonable measures to protect the Site, the customers, and its systems, including blocking suspicious activity and cooperating with the authorities where the law permits or requires it.
ARTICLE 20 – PERSONAL INFORMATION, COOKIES, AND COMMUNICATIONS
The collection, use, retention, and disclosure of personal information are governed by HAPI AUTO’s Privacy Policy, available on the Site. Cookies and similar technologies are managed in accordance with the cookie policy and the consent preferences offered to the visitor.
The transactional emails necessary for the processing of an order, for delivery, security, recalls, or after-sales service may be sent without constituting a subscription to promotional communications. Commercial messages are sent in accordance with consent and the applicable laws; the recipient may unsubscribe using the mechanisms provided.
ARTICLE 21 – THIRD-PARTY SERVICES AND LINKS
The Site may use or contain links to third-party services, including payment service providers, carriers, analytics tools, social networks, and technical platforms. These third parties may be governed by their own terms and policies.
HAPI AUTO chooses its service providers with care and remains responsible for its own obligations toward the customer. An external link does not constitute a general guarantee of the content, practices, or services of the third party.
ARTICLE 22 – LIABILITY
No provision of these Terms excludes or limits any warranty, remedy, or liability that cannot legally be excluded or limited, in particular the legal warranties, the liability arising from the merchant’s own act, from an intentional or gross fault, or from bodily injury where the law prohibits it.
Subject to the foregoing, HAPI AUTO is not liable for any damage resulting exclusively from false information provided by the customer, from a use contrary to the instructions, from an unauthorized modification, from an inadequate installation, or from an event beyond its reasonable control.
For a purchase made by a business for commercial purposes, and to the extent permitted by law, HAPI AUTO is not liable for indirect losses or for loss of profits, revenue, goodwill, or data, and its total liability in respect of the product is limited to the amount paid for that product, except in the case of an intentional or gross fault and other exceptions provided by law.
ARTICLE 23 – FORCE MAJEURE
HAPI AUTO is not liable for any delay or non-performance caused by an unforeseeable or irresistible event beyond its reasonable control, in particular a natural disaster, a major network outage, a transport interruption, a general strike, a governmental measure, a conflict, or a health emergency.
HAPI AUTO will inform the customer where possible and will take reasonable measures to limit the effects of the event. This clause does not remove the consumer’s legal rights, in particular the right to cancel an order where the legal delivery timeframe has been exceeded.
ARTICLE 24 – MODIFICATION OF THE TERMS
HAPI AUTO may update these Terms for future orders in order to reflect a change in its activities, its practices, or the law. The update date is indicated at the top of the document.
The modifications do not apply retroactively to orders already concluded, except by express agreement or legal requirement. General use of the Site after an update constitutes acceptance of the Site’s rules of use as of that date, but does not alter the rights attached to an earlier order.
ARTICLE 25 – GOVERNING LAW, DISPUTE RESOLUTION, AND LANGUAGE
These Terms are governed by the laws applicable in the province of Quebec and the federal laws of Canada that apply therein. However, a consumer residing in another province or territory retains the mandatory protections granted to them by the law of their place of residence.
Before initiating any proceedings, the customer is invited to contact customer service in order to seek a prompt resolution. Nothing in these Terms imposes mandatory arbitration, prohibits a class action, or restricts a right of access to the courts recognized by law.
The French version is provided and accessible before any version in another language. An English version may be offered where the customer expresses their wish to contract in that language. In the event of a discrepancy between the versions where the Quebec consumer protection rules apply, the interpretation most favourable to the consumer prevails.
ARTICLE 26 – SEVERABILITY, NON-WAIVER, AND ENTIRETY
If a provision is declared invalid or unenforceable, it is interpreted or severed to the minimum extent necessary, without affecting the other provisions. HAPI AUTO’s failure to exercise a right immediately does not constitute a waiver of that right.
These Terms, the policies incorporated by reference, and the specific information confirmed before purchase constitute the agreement applicable to the order, subject to the representations, warranties, and rights that cannot be set aside by law.
